TAFE Mates Program Partner Participation Terms

The TAFE Mates Program ("Program") is operated by TAFE SA (the "Institute") to provide enrolled students and current staff with access to discounts, offers, and experiences sourced from approved third-party partners ("Partners"). Participation as a Partner is subject to these terms.
2.1 TAFE SA may accept or decline Partner applications based on its reasonable assessment of the Program objectives, eligibility criteria, public sector obligations, probity considerations, reputational risk and suitability of the proposed offer. Submission of an expression of interest does not create any obligation on TAFE SA to enter into or continue a partnership.
2.2 To be considered for promotion through the Program, Partners must commit to providing offers, discounts, tickets, or in-kind value accessible to eligible TAFE SA students and staff, with a total estimated value of no less than $500 AUD over the course of a 12-month partnership period. TAFE SA reserves the right to assess the nature and quality of the offer, not only its monetary value, in determining suitability. TAFE SA may waive or vary the threshold where the offer has strategic, educational, wellbeing, cultural, regional, or community value.
2.3 TAFE SA may decline or discontinue a partnership where, in its reasonable assessment, the Partner or their products/services:
2.4 TAFE SA gives priority consideration to South Australian businesses and existing TAFE SA strategic partners.
2.5 In assessing Partner applications, TAFE SA may consider factors including the value and accessibility of the offer, alignment with TAFE SA's strategic objectives and public sector obligations, benefit to student and staff, partner reputation, legal and regulatory compliance, risk profile, conflicts of interest, and whether participation may create an actual, potential or perceived endorsement or preferential treatment.
2.6 TAFE SA may grant category exclusivity only where it is satisfied there is a clear Program benefit, the arrangement is documented in writing, approved by an appropriate delegate, limited to a defined category and period, and does not prevent TAFE SA from meeting its procurement, probity, public sector or legal obligations. Exclusivity does not create any procurement preference, endorsement or right to future commercial opportunities and may be withdrawn where required to manage legal, reputational, operational or probity risks.
2.7 TAFE SA may decline, suspend or terminate participation where a conflict of interest cannot be appropriately managed.
2.8 Partners must not offer, provide or attempt to provide gifts, benefits, inducements, commissions or personal advantages to TAFE SA employees in connection with participation in the Program, except as expressly approved by TAFE SA and managed in accordance with applicable gifts and benefits requirements.
3.1 TAFE SA determines, at its reasonable discretion, how, when, where, and how often a Partner is promoted through Program channels. Participation does not guarantee any specific volume, frequency, or placement of promotion. Participation in the Program does not create any procurement preference, approved supplier status, endorsement, sponsorship arrangement, or expectation of future work with TAFE SA or the South Australian Government.
3.2 Partners must provide TAFE SA with all logos, images, and brand references intended for use in any cross-promotional material for review and approval prior to publication. TAFE SA reserves the right to decline to use any supplied materials that do not meet accessibility, brand, or communications standards.
3.3 Partners must not use TAFE SA's name, logo, or branding in their own promotional materials without prior written approval from TAFE SA.
3.4 Partners are responsible for ensuring all offers are accurately described, legally compliant, and honoured in full to eligible students and staff who redeem them.
3.5 All offers made available through the Program must be redeemable by both currently enrolled TAFE SA students and current TAFE SA staff members unless otherwise agreed in writing with TAFE SA prior to the offer being communicated. Partners may not restrict a promoted offer to a subset of eligible recipients without prior written approval.
3.6 Partners must not require students or staff to create an account, submit personal information, sign up to a mailing list, or provide any data beyond proof of TAFE SA eligibility as a condition of accessing a Program offer, except where the collection of personal information is reasonably necessary to administer, book, ticket, deliver, fulfil or verify an offer. Any personal information collected for these purposes must not be used for unrelated marketing activities without the participant's consent.
Verification of eligibility is limited to presentation of a valid TAFE SA student or staff ID. Any Partner found to be using Program participation as a mechanism for unsolicited data collection will be immediately removed from the Program.
3.7 TAFE SA will assess Partner participation in a manner that is fair, transparent and consistent with its public sector obligations. In assessing applications and managing participation, TAFE SA may consider Program objectives, benefit to students and staff, offer value and accessibility, partner reputation, compliance with law, conflicts of interest, probity risks, alignment with TAFE SA values and any actual, potential or perceived endorsement or preferential treatment. Participation does not create any procurement preference, approved supplier status, sponsorship arrangement, endorsement, or expectation of future commercial opportunity with TAFE SA or the South Australian Government.
3.8 Partners must treat TAFE SA students and staff accessing Program offers with the same standard of service, pricing integrity, and product/service quality as provided to general customers. TAFE SA reserves the right to remove a Partner from the Program where it has reasonable grounds to believe a Partner is offering inferior products, services, or treatment to Program participants, or is misrepresenting the nature or value of an offer.
4.1 TAFE SA makes no warranties and accepts no liability in relation to the products, services, or conduct of Partners. Participation in the Program does not constitute an endorsement by TAFE SA of any Partner's products or services.
4.2 TAFE SA is not liable for any loss, damage, or claim arising from a Partner's participation in, or removal from, the Program.
4.3 Partners indemnify TAFE SA against any claim, loss, or liability arising from their offers, conduct, or failure to honour a commitment made under the Program.
4.4 Partners must comply with the Australian Consumer Law and all other applicable consumer protection, fair trading, advertising, product safety and service quality requirements in relation to any offer promoted through the Program. Partners must ensure that all offer descriptions, prices, discounts, conditions, limitations, expiry dates and redemption requirements are accurate, not misleading or deceptive, and capable of being substantiated. Nothing in these terms limits or excludes any consumer guarantee, remedy or other right that cannot lawfully be limited or excluded.
5.1 TAFE SA may suspend or terminate a partnership at any time with or without notice where TAFE SA considers this necessary to manage legal, reputational, operational, safety or integrity risks. No compensation or right of appeal arises from such a decision.
5.2 Partners may withdraw from the Program by providing 30 days written notice, and must honour any offers already communicated to students and staff prior to withdrawal.
5.3 A Partner may request written reconsideration of a decision to decline, suspend or terminate participation. TAFE SA is not required to provide detailed reasons where doing so may prejudice legal, privacy, commercial, safety, integrity or reputational interests.
6.1 These terms are governed by the laws of South Australia.
6.2 TAFE SA may update these terms at any time. Continued participation constitutes acceptance of updated terms.
6.3 These terms do not create an employment, agency, or joint venture relationship between TAFE SA and the Partner.
6.4 TAFE SA may keep records of Partner applications, assessment outcomes, approvals, conflicts of interest, offer allocation decisions and reasons for suspension or termination in accordance with applicable record keeping obligations.
7.1 By providing logos, trademarks, images or promotional material, the Partner grants TAFE SA a non-exclusive, royalty-free licence to use those materials solely for the purposes of administering and promoting the Program.
